In the initial phase of the transaction, Infinite Reality will acquire 9.9% of Super League’s outstanding shares through a share exchange. The companies have also entered into an exclusivity agreement to complete a supplemental transaction, wherein Infinite Reality will secure an additional 75% of Super League’s shares, along with a second seat on the board.

This follow-on investment includes a commitment from Infinite Reality for up to $20 million in cash and access to a future $30 million credit facility, with terms yet to be finalized. The acquisition will result in Infinite Reality holding a majority stake in Super League, paving the way for integrating specific iR properties and rights into Super League’s operations. As part of the deal, Super League will obtain a worldwide perpetual license to produce events and sell sponsorships for the Drone Racing League (DRL), a tech-driven global sports property with over 100 million young fans across 170 countries. DRL’s multi-platform approach, including live events, video games, and esports offers unique engagement opportunities for brands targeting the elusive Gen Z demographic. Infinite Reality will retain ownership of DRL’s underlying intellectual property, including patents.
